Master Terms & Conditions
1. Parties & Acceptance
These Master Terms & Conditions (“Terms”) constitute a legally binding agreement between ProPepMD LLC (“Company”) and any purchaser, reseller, distributor, practitioner, affiliate, or end user (“Buyer”).
By purchasing, reselling, distributing, or using any ProPepMD LLC product, Buyer expressly agrees to be bound by these Terms in their entirety, without limitation or qualification.
2. Product Classification & Regulatory Compliance
All ProPepMD LLC products are:
- Classified and sold solely as Dietary Supplements
- Manufactured in accordance with 21 CFR Part 111 (cGMP)
- Properly labeled pursuant to DSHEA and applicable FDA dietary supplement labeling guidelines
ProPepMD LLC does not manufacture, distribute, or sell drugs, biologics, controlled substances, or medical devices.
3. No Medical or Disease Claims
ProPepMD LLC products:
- Are not intended to diagnose, treat, cure, or prevent any disease
- Have not been evaluated by the U.S. Food and Drug Administration
- Are not represented as pharmaceutical, therapeutic, or medical alternatives
Buyer acknowledges sole responsibility for any representations, claims, or marketing statements made downstream, whether intentional or implied.
4. B2C, B2B & Hybrid Distribution
ProPepMD LLC products may be sold through:
- Direct-to-consumer (B2C)
- Business-to-business (B2B)
- Hybrid or affiliate-based distribution models
All resellers, practitioners, affiliates, and third parties assume full responsibility for:
- Advertising and marketing compliance
- Label integrity and preservation
- Regulatory representations and disclosures
Unauthorized relabeling, reformulation, repackaging, medical claims, or therapeutic positioning is strictly prohibited and constitutes a material breach of these Terms.
5. Assumption of Risk
Buyer assumes all responsibility for:
- Product selection and intended use
- Storage, handling, and distribution
- Compliance with applicable laws and regulations
- Downstream marketing and representations
ProPepMD LLC expressly disclaims liability for misuse, off-label promotion, unauthorized claims, or regulatory violations by Buyer or any third party.
6. Indemnification
Buyer agrees to defend, indemnify, and hold harmless ProPepMD LLC, its officers, members, affiliates, and agents from any and all claims, damages, losses, penalties, regulatory actions, chargebacks, or expenses (including attorneys’ fees) arising from:
- Improper or unauthorized use
- False, misleading, or unapproved claims
- Regulatory non-compliance
- Unauthorized resale or distribution
- Chargeback abuse or payment disputes
7. Payments & Chargeback Protection
Buyer agrees:
- Not to initiate chargebacks without first contacting ProPepMD LLC for resolution
- That chargeback abuse constitutes a material breach of these Terms
- That ProPepMD LLC may submit these Terms, order records, and fulfillment confirmations as evidence in payment disputes
Recovered amounts may include administrative, legal, arbitration, and collection costs to the maximum extent permitted by law.
8. Arbitration & Class Action Waiver
ALL DISPUTES arising out of or relating to these Terms or any ProPepMD LLC transaction shall be resolved exclusively by:
- Binding arbitration
- Conducted on an individual basis only
- With no class actions, representative actions, or jury trials
This provision survives termination, cancellation, or completion of any transaction.
9. Limitation of Liability
To the fullest extent permitted by law, ProPepMD LLC shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits, business interruption, or reputational harm
- Any claim exceeding the amount paid for the product at issue
10. Intellectual Property
All trademarks, branding, formulations, product designs, content, and intellectual property are the exclusive property of ProPepMD LLC.
Unauthorized use, reproduction, or distribution is strictly prohibited and enforceable to the maximum extent permitted by law.
11. Governing Law & Venue
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.
The arbitration venue shall be designated solely by ProPepMD LLC.
12. Severability & Survival
If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
All provisions relating to indemnification, arbitration, limitation of liability, chargebacks, and intellectual property shall survive termination.

This Privacy Policy explains how we collect, use, protect, and handle your information when you visit our website, use the ProPep Calculator mobile application (“the App”), communicate with us, or use our services, including email and SMS communications.

2. ProPep Calculator Mobile Application

The App does not require you to submit personal information to perform its core calculation functions.
How the App Uses Your Information. Any personal information you provide through the App is used only to (1) provide, operate, and support the functionality you request within the App, and (2) process payments for optional premium features. We do not use App information for advertising, and we do not sell, rent, or share it with third parties except as strictly necessary to deliver the functionality you request or to process a payment you authorize.
Data Retention. ProPepMD LLC does not retain personal information collected through the App. Information you enter is used only to deliver the requested functionality or to complete a transaction, and is not stored on our servers afterward. Calculations and other activity you perform in the App are processed on your device and are not transmitted to or retained by us.
Payments for Premium Features. Purchases of premium features are processed by third-party payment providers, which may include the Apple App Store, Google Play, or an independent payment processor. Your full payment details are handled directly by those providers under their own privacy policies. ProPepMD LLC does not receive or store your complete payment card information.
Your Choices. Because the App does not retain your personal information, there is no stored App profile for us to access or delete on your behalf. For any questions about information handled through the App, or to exercise the rights described in Section 7, please contact us using the details in Section 10.
